PERFECT PORTALS TERMS AND CONDITIONS

 

As of January 1st, 2021 this is the terms and conditions statement for services with Perfect Portals.

 

As a client of Perfect Portals I understand and agree to these terms and conditions. These terms and conditions may be updated at any time, but I understand that Perfect Portals will inform me by email of any changes to this statement. The continuation of my services shall constitute my acceptance of any and all changes to the Perfect Portals terms and conditions. I am a client/customer of the company that I am registering with. I will not register my company for more than one account with Perfect Portals. All account information for my company will be maintained using this account.

 

I agree to provide accurate information to Perfect Portals. Any intentional misrepresentation of information about my company on my part will result in the termination of my services. I understand that termination of my services is permanent and I will not be eligible to re-register at any point in the future. I also agree to update my company profile with Perfect Portals on a timely basis to keep the information presented to Perfect Portals accurate. I am not an authorized agent of Perfect Portals. I will not incur any debt, expense, obligation on behalf of, for, or in the name of Perfect Portals. I understand that I am not an employee of Perfect Portals for federal, state/province, county/region, or city tax purposes. Services with Perfect Portals does not obligate Perfect Portals to produce employment for myself or employees of my company. Services with Perfect Portals is a means of marketing my services and not an obligation of employment. To the extent permitted by law, Perfect Portals, it's owners, employees, investors, agents, assigns, and affiliates shall not be liable for, and release from and waive all claims for any loss of profits, direct or indirect, special or consequential damages or any other loss incurred or suffered by me as a result of (a) my breach of these terms and conditions (b) the promotion and operation of my company (c) any incorrect or wrong information provided/or changed by me (d) any incorrect or wrong information provided by Perfect Portals (e) Perfect Portals website technical difficulties or (f) the creditworthiness or reliability my clientelle.

 

These terms and conditions constitute the entire contract between Perfect Portals and myself. Any promises, representations, offers, or other communications not expressly set forth in this agreement are of no force or effect. To the extent of any conflict of inconsistency between this agreement and any other agreement, these terms and conditions shall supersede and prevail over any term of any other agreement as to the matters addressed herein. If a provision of these terms and conditions is held to be unenforceable or invalid, such provision shall be reformed only to the extent necessary to make it enforceable, and the balance of the terms and conditions will remain in full force and effect.

 

I understand that I have the right to terminate my services at any time. I agree that such termination must be done by contacting Perfect Portals who will edit my company profile and remove my information.

 

I may not assign any rights or delegate my duties under this Agreement without the prior written consent of Perfect Portals. Any attempt to transfer or assign this Agreement without the express written consent of Perfect Portals renders this Agreement voidable at the option of Perfect Portals and may result in termination of my Services. I understand that Perfect Portals reserves a right of first refusal on any attempted transfer of ownership of my Services, which it may exercise at its sole discretion.

 

COPYRIGHT AND INTELLECTUAL PROPERTY: The license granted in these Terms and Conditions does not constitute a transfer or sale of Perfect Portals© ownership rights in the Perfect Portals© Client Portal Creation (CSS and Design Elements), Planning Forms (Content and Setup), Email System (Content, Design and Setup) or the Perfect Portals “My Perfect DIY” System. Perfect Portals© retains all right, title, and interest in and to the Perfect Portals© Systems mentioned herein including all related intellectual property rights. You will use your best efforts to prevent and protect the contents of the Perfect Portals© Systems from unauthorized use or distribution. You must not rent, lease, sublicense, sell, assign, loan, distribute, transmit, or otherwise transfer any content of the service, including the Perfect Portals© Systems, or your rights and obligations pursuant to the Terms and Conditions. You must not copy, reproduce, alter, modify, create derivative works, or publicly display any content of the Service, including the Perfect Portals© Systems, unless expressly authorized in the Terms and Conditions.

 

I understand that Perfect Portals values my right to privacy. No information about my company will be shared with other customers of Perfect Portals. I also understand that it is my responsibility to ensure that all information shared with me and my company by Perfect Portals (via Zoom Call/Phone Call/Email or any form of messaging) shall remain private as well.

By agreeing to these Terms and Conditions I grant Perfect Portals and DJ Event Planner exclusive access to my DJEP account. No other service provider shall have access to my account and I will ensure the removal of said access upon approval of these Terms and Conditions. Failure to remove access from other service providers will result in removal of the Perfect Portals Systems from your account as a result of violation of the Terms and Conditions.

 

The information I enter in my company profile will not be sold or given to a third party for marketing purposes, except for the information that third party is able to discern from visiting the web site. I agree to allow Perfect Portals to send me email messages periodically. These email messages will detail changes and features of the Perfect Portals website and/or contain marketing messages. These terms and conditions will be governed by and construed in accordance with the laws of the Province of Ontario. Except as set forth in the Perfect Portals terms and conditions, all disputes and claims relating to Perfect Portals, it's products or services, the rights and obligations of myself, or any other claims or causes of action relating to the performance of Perfect Portals shall be settled in Peel Region, Ontario, Canada.
